Legal Agreement
These Terms of Use govern your access to and use of CUI Labs (Pte.) Ltd. services. By using our services, you acknowledge that you have read, understood, and agree to be bound by these terms, which are governed by Singapore law and comply with international trade, export control, and data protection regulations.
Acceptance of Terms
By accessing or using the CUI Labs website (cuilabs.io) and services, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.
Description of Services
CUI Labs (Pte.) Ltd., a Singapore-incorporated company, provides deep-tech software systems for mission-critical infrastructure globally, including:
- Quantum-Native Security Platform (QNSP)
- Autonomous Interoperable Operating Systems (AIOS)
- Deterministic Development Intelligence Platform (DDIP)
- Industrial Autonomous Command Cloud (IACC)
- Blockchain security and infrastructure solutions
- AI-powered operational intelligence systems
Our services are designed for deployment across multiple jurisdictions and comply with applicable laws in Singapore, the European Union, the United States, and other regions where we operate or serve customers.
User Accounts and Registration
Some services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to: Provide accurate, current, and complete information during registration; maintain and promptly update your account information; notify us immediately of any unauthorized use of your account; and not share your account credentials with third parties.
Acceptable Use
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malicious code or harmful software
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of our services
- Collect or harvest personal information without consent
- Use our services for any illegal or unauthorized purpose
Intellectual Property Rights
All content, features, and functionality on our website and services are owned by CUI Labs or its licensors and are protected by international copyright, trademark, and other intellectual property laws.
Open Source Licensing
Our open-source software is licensed under Apache-2.0 or other specified licenses. Core platform components may be licensed under BUSL-1.1 with specified change licenses. Please refer to individual repositories for specific licensing terms.
Prohibited Actions
You may not copy, modify, distribute, or create derivative works from our proprietary content; reverse engineer, decompile, or disassemble any software; remove or alter any proprietary notices; use CUI Labs trademarks without written permission; or extract data through automated means without authorization.
Permitted Use
You may view and download materials for personal, non-commercial use; share links to CUI Labs content with attribution; and use product names and logos in accordance with our brand guidelines (available upon request).
Privacy and Data Protection
Your use of our services is also governed by our Privacy Policy. We are committed to protecting your personal data in accordance with:
- Singapore Personal Data Protection Act 2012 (PDPA)
- European Union General Data Protection Regulation (GDPR)
- United Kingdom GDPR
- California Consumer Privacy Act (CCPA)
- Other applicable data protection regulations
As a Singapore-headquartered company serving global customers, we implement appropriate safeguards for international data transfers and comply with cross-border data protection requirements.
Service Availability and Modifications
We strive to provide reliable services but do not guarantee uninterrupted or error-free operation. We reserve the right to:
- Modify, suspend, or discontinue any aspect of our services
- Impose limits on certain features or restrict access to parts of our services
- Update these Terms of Use at any time
We will provide reasonable notice of material changes to our services or these terms.
Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that our services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
Limitation of Liability
Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUI LABS SHALL NOT BE LIABLE FOR indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; cost of substitute products or services; damages from third-party services; unauthorized access or security incidents; customer misuse or misconfiguration; or business interruption.
Liability Cap
Our total liability shall not exceed the lesser of: (a) Amount you paid us in the twelve (12) months preceding the claim; (b) SGD $10,000 for enterprise customers; or (c) SGD $100 for free or trial services.
Exceptions
This limitation does not apply to gross negligence or willful misconduct by CUI Labs; death or personal injury caused by CUI Labs; fraud or fraudulent misrepresentation; or liability that cannot be excluded by applicable law.
Export Controls and Sanctions
Our services and technology may be subject to export control laws and regulations of Singapore, the United States, the European Union, and other jurisdictions. You agree to comply with all applicable export and import laws and regulations.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions. You further represent that you are not listed on any government restricted party list.
Our quantum-safe cryptography and security technologies may be subject to additional export licensing requirements. See our Export Control Notice for details.
Governing Law and Dispute Resolution
Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.
Jurisdiction
You irrevocably consent to the exclusive jurisdiction and venue of the courts of Singapore for any disputes. Any legal action must be commenced within one (1) year after the claim arises, or it is permanently barred.
Arbitration
For enterprise customers with contracts exceeding SGD $50,000 annually, disputes shall be resolved through binding arbitration in Singapore in accordance with the Singapore International Arbitration Centre (SIAC) rules.
Consumer Rights
For customers in the European Union, nothing in these terms affects your statutory rights under EU consumer protection laws. For customers in California, nothing affects your rights under CCPA. Mandatory consumer protection laws shall apply to the extent they cannot be waived.
