Advisor Compensation

Advisors receive equity (0.25\u20130.5%) at the same $0.015/share strike price (Board-Determined FMV). Monthly retainers of $500\u20132K/month begin after pre-seed funding closes.

Compensation & Equity

Pre-funding: equity-only. Post-funding: market-rate cash + equity.

We are pre-revenue and pre-funding (incorporated July 28, 2025). Until pre-seed closes (target H1 2026), all compensation is equity. Strike price is $0.015/share (Board-Determined FMV) — a 25% discount to the pre-seed investor price of $0.020/share. Cash compensation begins after funding.

Equity-Only (Pre-Funding)

Until pre-seed closes (target H1 2026), all compensation is equity-only. Strike price $0.015/share (Board-Determined FMV). Exercise costs $15K–$150K for most roles. Cash compensation begins post-funding.

Meaningful Equity

0.1–1% equity for engineers (1M–10M shares). Senior engineers: 0.4% = $60M at IPO baseline. Exercise cost: $60,000. 32% discount to investor price.

Post-Funding Cash

Market-rate base salary begins after pre-seed close. Flexible fiat, tokenized, or hybrid structures. Location-adjusted (APAC, EU, US).

High Autonomy

Own what you build. Small teams, maximum leverage, minimum bureaucracy.

Deep Work Environment

Long-cycle engineering prioritizing correctness over velocity. No task-churn.

Clear Advancement

Impact → Ownership → Leadership. Refresh grants every 18–24 months for top performers.

4-year vesting with 1-year cliff. Singapore has no capital gains tax — profit on sale is tax-free. Only ordinary income tax (up to 22%) applies at exercise. No US 409A applies — Board-Determined FMV under Singapore law.
